Welcome to YouDomo Pay, operated by YouDomo LLC. By creating an account or using the Service, You agree to be bound by these Terms of Service. If You do not agree, please do not use the Service.

01Definitions

“Service”

The YouDomo Pay platform, including the website, merchant dashboard, booking and checkout pages, calendar, product and service listings, subscription tools, reports, notifications, and all related software and features provided by YouDomo LLC.

“We,” “Us,” or “YouDomo Pay”

YouDomo LLC, which operates YouDomo Pay, together with its owners, employees, contractors, and authorized representatives.

“Merchant,” “You,” or “Your”

The business or individual that creates an account to use the Service. The Merchant is YouDomo Pay’s customer.

“Customer”

A person who books an appointment, buys a product or service, or pays through a Merchant’s page on the Service. Customers are the Merchant’s customers, not ours.

“Stripe”

Stripe, Inc. and its affiliates, the third-party payment processor used by the Service.

“Stripe Terms”

Stripe’s terms that apply to Merchants, including the Stripe Connected Account Agreement and the Stripe Services Agreement, as updated from time to time.

“Plan”

The Free plan or the paid Pro plan, as described on our pricing information.

“Merchant Content”

Everything You add to the Service, including business information, logos, photos, descriptions, prices, hours, and policies.

02Eligibility & Accounts

To use the Service, You must be at least 18 years old, be able to form a binding contract, and be authorized to act for the business You register. You agree to give accurate information and keep it up to date, and to keep Your login credentials secure.

You are responsible for all activity under Your account, whether You authorized it or not. To accept payments, You must also complete Stripe’s verification and onboarding. We may refuse, suspend, or close an account that we reasonably believe violates these Terms.

03Service Availability

YouDomo Pay strives to provide uninterrupted service. However, disruptions can and do happen, including but not limited to server outages, connection problems, errors in booking or checkout flows, maintenance, and outages at third-party providers such as Stripe, hosting, or email services.

You understand and accept that the Service may be unavailable, slow, or contain errors from time to time, and that we do not guarantee continuous, uninterrupted, or error-free access. We recommend keeping another way for Customers to reach You.

04Our Role, Stripe & Merchant of Record

YouDomo Pay is a scheduling and booking platform. Stripe is the payment processor. We do not process, hold, or transmit Customer funds.

We use Stripe Connect to verify and onboard Merchants. By using the Service to accept payments, You must also agree to and comply with the Stripe Terms. If Stripe limits, holds, or closes Your Stripe account, we cannot override that decision.

The Merchant, not YouDomo Pay, is the merchant of record for every sale.

This means You are the seller. You are responsible for the products and services You offer, their pricing and fulfillment, customer service, receipts, refunds, disputes and chargebacks, and the collection and payment of any taxes. The sale agreement is between You and Your Customer, not between the Customer and us.

05No Tax, Legal, or Financial Advice

YouDomo Pay does not provide tax, legal, accounting, or financial advice. Nothing in the Service, including reports, dashboards, totals, and fee calculations, is advice. Reports are provided for convenience and are not a substitute for Your own accounting records. Please consult a qualified professional about Your obligations.

06No Responsibility for Financial Losses

To the maximum extent permitted by law, YouDomo Pay is not responsible for any financial losses. This includes, without limitation, lost sales, revenue, or profits; missed or double-booked appointments; no-shows; failed, delayed, or reversed payments; delayed payouts; refunds, chargebacks, and disputes; holds or fees imposed by Stripe; tax penalties; and losses caused by outages, errors, or incorrect information in the Service or entered by You or Your Customers.

07Restricted Businesses

You may not use the Service if Your business, or any product or service You sell, is on Stripe’s list of restricted businesses, found at stripe.com/legal/restricted-businesses. Stripe may update that list at any time, and the current list applies to You.

You are responsible for checking the list and for keeping Your business compliant with it. If we learn that You are, or may be, a restricted business, we may immediately suspend or terminate Your account without notice. Stripe’s decisions on whether a business is eligible are final for purposes of the Service.

08Merchant Responsibilities

As a Merchant, You agree to:

09Fees & Plans

The Service offers a Free plan and a paid Pro plan. Each transaction carries a platform fee, and Stripe charges its own payment processing fees. Current fees and what each Plan includes are shown on our website and at checkout. Fees are deducted from payments before they reach You.

We may change our fees or Plans by giving reasonable advance notice. Continued use of the Service after a change takes effect means You accept it.

10Pro Plan Billing

The Pro plan is a subscription that renews monthly until canceled. By subscribing, You authorize us to charge Your payment method on file for the recurring fee and any applicable taxes.

You can cancel at any time, and Pro features remain available until the end of the current billing period. Subscription fees are non-refundable, including for unused time, except where the law requires otherwise.

11Cancellations, Refunds & Chargebacks

You are responsible for all refunds, cancellations, disputes, and chargebacks on Your sales, along with any related fees Stripe charges. Stripe may debit these amounts from Your balance or Your linked bank account.

Platform fees we collected on a transaction are not automatically returned when You refund or cancel it, unless we agree otherwise in writing. If You offer subscriptions to Your Customers, You are responsible for how they are billed, canceled, and refunded.

12Acceptable Use

You agree not to:

13Customer Data & Privacy

You are responsible for the Customer information You collect through the Service and for complying with the privacy, marketing, and data protection laws that apply to Your business. We handle personal information as described in our Privacy Policy, and we use it to operate the Service on Your behalf, including sending booking confirmations and notifications.

14Intellectual Property & Merchant Content

The Service, including its software, design, and trademarks, belongs to YouDomo LLC or its licensors. We grant You a limited, non-exclusive, non-transferable, revocable right to use the Service for Your business.

You keep ownership of Your Merchant Content. You grant us a license to host, display, and use it as needed to run the Service, and You confirm that You have the rights to do so.

15Third-Party Services

The Service depends on third parties, including Stripe, hosting providers, and email services. We are not responsible for their performance, availability, or terms. Your use of them is governed by their own terms.

16Warranty Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

17Limitation of Liability

To the maximum extent permitted by law, YouDomo LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of revenue, profits, data, or goodwill, arising from Your use of the Service.

Our total liability for any claim related to the Service will not exceed the fees You paid to us in the three months before the claim arose.

18Indemnification

You agree to indemnify and hold harmless YouDomo LLC from any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from Your use of the Service, Your products and services, Your dealings with Customers, Your violation of these Terms or the Stripe Terms, or Your violation of any law or third-party right.

19Suspension & Termination

You may stop using the Service and close Your account at any time. We may suspend, limit, or terminate Your access at any time, with or without notice, including if we believe You have violated these Terms, are a restricted business, or create risk for us, Stripe, or Customers.

Closing an account does not end Your responsibility for existing bookings, refunds, disputes, fees, or taxes. Sections that by their nature should continue, including those on fees, liability, indemnification, and disputes, will survive termination.

20Arbitration & Dispute Resolution

Any dispute arising from these Terms or the Service will be resolved through binding arbitration in the state of Virginia. You waive the right to take part in a class action.

21Changes to These Terms

We may update these Terms at any time. Updated Terms take effect when posted on this page, and the effective date above will change. Continued use of the Service after an update means You accept the updated Terms.

22Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia and applicable federal law, without regard to conflict of law principles.
